Idea Submission & Confidentiality Terms

These Idea Submission & Confidentiality Terms (“Submission Terms”) apply when you submit a business idea, concept, question, or related information to Orysin through our website.

They are designed to accomplish two things simultaneously — and we consider both equally important:

• Protect you: Genuinely confidential information you share with us will be handled responsibly and not disclosed or misused.
• Protect Orysin: Submitting an idea does not prevent Orysin from independently researching, working in, or advising others within the same industry or on similar concepts, provided we do not misuse your specific Confidential Information.

These Submission Terms are read together with our Terms of Use and Privacy Policy.

Example of the distinction: “I want to build an app that helps pharmacies manage deliveries” is a General Concept. A proprietary algorithm you have developed for route optimisation, a non-public dataset of pharmacy partnerships you have secured, or detailed financial projections you have prepared are Confidential Information — if you choose to share them with us.

Subject to the exceptions in Section 4, Orysin will:

• treat your Confidential Information with reasonable care and not disclose it to third parties without your consent;
• limit access to your Confidential Information to authorised Orysin personnel who need it to evaluate your enquiry or provide services to you;
• not use your Confidential Information for any purpose unrelated to evaluating your enquiry or providing agreed services to you; and
• not publicly publish your Confidential Information or use it as a case study without your separate written authorisation.

These obligations apply only to information that genuinely qualifies as Confidential Information under Section 2. They do not apply to General Concepts as defined above.

The confidentiality obligations in Section 3 do not apply to information that:

• Is or becomes public: is or becomes publicly available through no breach or fault of Orysin;
• Was already known: was already lawfully known to Orysin at the time of receipt, without any obligation of confidence;
• Is independently developed: is independently developed by Orysin without reference to or use of your Confidential Information;
• Is lawfully received from a third party: is lawfully received by Orysin from a third party without restriction on disclosure;
• You authorise: you have expressly authorised Orysin to disclose; or
• Is required by law: Orysin is required to disclose by applicable law, a court order, or a competent regulatory authority — in which case Orysin will, where permitted and practicable, give you reasonable prior notice before making such a disclosure.

Important: These exceptions do not render the confidentiality obligation meaningless. Orysin will not invoke an exception as a pretext to circumvent reasonable protection of your specific Confidential Information. The exceptions address genuine situations where the information is not truly confidential or where disclosure is legally required.

The following limitations are fundamental to how Orysin operates as a business. Please read them carefully.

Nothing in these terms prevents Orysin from independently:

• researching, evaluating, developing, or advising on products, services, technologies, business models, or industries that are similar to or that may compete with anything you have described;
• working with other clients in the same market or space; or
• using general skills, methodologies, and industry knowledge that Orysin has independently developed or acquired

— provided that Orysin does not, in doing so, improperly use or disclose your specific Confidential Information as defined in Section 2.

This clause is not a licence for Orysin to appropriate your confidential work. It is an honest acknowledgement that Orysin is a professional advisory and product studio that works across industries and must retain the ability to do so. The protection of your Confidential Information remains intact. What is not protected is the general concept or market category itself.

At the initial enquiry stage, we need enough context to understand your idea and whether we can help — not a complete data room. Please do not submit:

• Passwords, private keys, API keys, or authentication credentials
• Source code (unless specifically requested during a later, formally established engagement)
• Payment card numbers or financial account credentials
• Personal data of third parties (e.g., your customers) beyond what is necessary
• Any information you are not authorised to disclose, including confidential information belonging to a third party or your current or former employer

If you are concerned that a particular piece of information is especially sensitive, we recommend sharing only enough detail for us to understand the general concept. More sensitive details can be discussed in a later conversation after we have established a formal engagement and, if appropriate, executed a more detailed non-disclosure agreement.

These Submission Terms provide a reasonable baseline level of confidentiality for the initial enquiry stage. They are not a formal mutual non-disclosure agreement.

If your specific situation requires a more formal NDA before you are comfortable sharing sensitive details — for example, if you are sharing highly proprietary technology, non-public financial information, or information covered by a third-party NDA — please contact us before submitting that information. We are open to discussing a separate NDA arrangement on a case-by-case basis.

We take reasonable steps to protect Confidential Information, including access controls and encrypted connections. However, we cannot guarantee absolute security against all possible threats. In the event of an unauthorised disclosure or security incident affecting your Confidential Information, we will follow our incident response procedures and comply with our obligations under applicable law.

These terms do not create any partnership, agency, employment, joint venture, or fiduciary relationship between you and Orysin. Each party operates independently. Orysin does not owe any fiduciary duties to you by reason of these terms or your submission.

These Submission Terms are governed by the laws of India. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts at Tirupati, Chittoor District, Andhra Pradesh, India.

We may update these Submission Terms from time to time. The version in effect at the time of your submission governs your submission. We will update the version number and effective date when we make changes.

We store the version of these terms you accepted at the time of your submission.
